MICO Terms and Conditions

[Introduction]

[Review and Reading] Please read carefully and fully understand each clause before using MICO, especially the clauses of exemption or limitation of liability, protection of minors, etc. Restrictions, exemption of liability clauses or other clauses involving your major rights and interests may be highlighted in bold to remind you to pay special attention.

[Age limit] You must be at least 18 years of age (or the age of majority under local law) to use MICO. If you are under the age of 18, please stop using our products and services immediately. If you, as a guardian, find that the minors under your guardianship are using our products and services, please notify us in time, and we will respond and handle it in time. MICO respects the protection of the rights and interests of minors in various regions, and strictly abides by the laws on the protection of the rights and interests of minors in various regions. We will respond to the protection of the rights and interests of minors through timely inspections, etc. We should not be regarded as our legal obligation and effective guarantee for the verification of minors' identity information.

[Comply with local laws and regulations] You should comply with local laws and regulations and respect local ethics and customs when using the services provided by MICO. If your behavior violates local laws and regulations or ethics, you shall bear the responsibility for it independently. You should avoid involving us in public or criminal incidents due to the use of MICO services, otherwise MICO has the right to suspend or terminate the provision of services to you and cooperate with all investigations and inquiries of the competent authorities in a timely manner. At the same time, we reserve the right to claim compensation from you.

1. Applicability of the Agreement

1.1[Complete Agreement] <MICO Privacy Policy>, <MICO Platform Guidelines> and other protocol specifications that MICO has released as well as new protocol specifications in the future are an integral part of this agreement and together constitute the complete version of this agreement. We encourage you to check it in time.

1.2 [Parties to the Agreement and Scope of Binding] This Agreement is signed by MICO World limited (hereinafter referred to as "MICO" or "we" "us" "our") and the user of MICO-related services (hereinafter referred to as "user" or "you"). If you use MICO and its corresponding services, we have the right to regard that you have fully understood this Agreement and agree to abide by it. If you disagree with any content of this Agreement, it will result in us being unable to provide you with products and services, so please stop using it immediately. Otherwise, any use or operation of yours will be deemed to have been bound by this Agreement.

1.3 [Agreement Updates and Reminders] This agreement may be updated from time to time. The updated agreement will be brought to your attention by appropriate means such as in-site messages. If you do not agree to the modified agreement, please stop using MICO immediately. If you continue to use it, it will be deemed that you have understood and accepted the modified agreement.

2. Our Products and Services

2.1 [MICO’s product positioning] As a product with social attributes, MICO provides users with technical support services such as content sharing, group joining, live broadcast, communication and interaction, etc., aiming to create a friendly, equal and healthy Internet interactive community.

[Restricted Authorization] We grant you a personal, revocable, non-transferable, non-exclusive and non-commercial right to use MICO. All other rights not expressly authorized in this Agreement remain reserved by us. You may not use MICO in any unauthorized form unless you have our prior express written authorization.

2.2 [Ways and methods for you to obtain MICO] You can visit the official website of MICO, or download and install MICO from our authorized application market . We develop different application versions for different terminal devices. Please obtain, download and install the official version of MICO according to the actual terminal device conditions.

2.3 [Flow rate is at your own expense] You need to prepare mobile phones and other related terminal devices to use MICO. In order to realize all the functions of MICO, you need to connect your terminal device to the Internet, and you shall bear the required Internet access fees, flow fees and other expenses.

2.4 [Applicable Regions] Please use the products and services provided by MICO legally and appropriately only in the jurisdiction where MICO is officially released, and in compliance with all applicable local laws. If you use MICO in a jurisdiction other than where MICO is officially released, you will ensure that your use of MICO complies with all applicable local laws and assume the corresponding risks and responsibilities.

2.5 [MICO Updates] MICO may update or change products or services from time to time, including but not limited to modifying, upgrading, suspending or terminating related services, providing new services or replacing software packages, etc. You can choose whether to update as needed. If you choose not to update, some of MICO's functions may be restricted or not work properly . In order to facilitate your better use of MICO, we may also remind you to update MICO at an appropriate time.

3. Registration, Use and Cancellation of MICO Account

3.1 [Registration]

3.1.1 We provide a registration channel for MICO accounts. You can choose to register a MICO account by mobile phone number. You can also use the third-party platform account authorization login function we provide to register and log in to MICO through the user account of the third-party software or platform you legally own. You should ensure that the user account of the third-party software or platform you use complies with the requirements of relevant laws and regulations.

3.1.2 We do not provide account registration services to minors. If you are a minor, please stop registering and using your account immediately. Otherwise, once discovered, we will immediately take action against the account, including but not limited to suspending services to the account.

3.2 [Information settings]

When you complete the account registration or complete your basic personal information, you may need to actively provide us with some personal information, such as your avatar, age, and gender. This information is provided by you. You guarantee that the information you provide to us is your own true and valid (latest) information and does not contain any false information. If the information you provide leads to our misjudgment or causes us losses, you will bear the losses caused by this, and we reserve the right to claim compensation from you.

After you become a registered user of MICO, you can modify your basic personal information, such as nickname, avatar, and personal signature. You guarantee that these modifications and additions respect and comply with all applicable local laws, regulations, beliefs and customs. If the information you submit is inaccurate, untrue, illegal, or does not comply with this Agreement, we have the right to require you to correct, supplement, or refuse to provide you with related services. However, you understand and agree that for security reasons, you may not be able to modify some of the initial registration information and other verification information.

3.3 [Usage and Safety]

3.3.1 You know and accept that your MICO account is for your own use only. It is prohibited to give, borrow, rent, transfer, sell or otherwise allow others to use the account in any form. If we have reasonable grounds to believe that the user is not the account registrant, we have the right to suspend or terminate the service to the account to ensure the security of the account.

3.3.2 You should maintain the security and confidentiality of your MICO account and password by yourself. We encourage you to further strengthen your account security through [mobile phone binding] (Me-Settings-Account and security). If you lose your account or forget your password, you can follow our appeal channel to apply for account or password recovery in a timely manner. You understand and acknowledge that we only identify whether the verification information provided by the appellant in the appeal is consistent with the system record, and cannot identify whether the appellant is the real owner of the account. If your account is stolen or your password is lost due to your own reasons, such as improper custody, the corresponding losses will be borne by you. If you find that someone else is using your MICO account without permission, or find any other security loopholes, please notify us immediately to protect the security of your account.

3.3.3 You must bear all legal responsibilities for all actions under your MICO account, including but not limited to all legal liabilities that may arise from any information release, payment and other operations you perform on MICO.

3.4 [Account cancellation]

3.4.1 You can cancel your MICO account by yourself (Me-Settings-Account and security-More-Delete Account); or you can contact us by email to complete the account cancellation. Please refer to the <Notes on Account Deletion> for the conditions and consequences of account cancellation . Cancellation will result in the elimination of all permissions of your account, so please treat it with caution. After the account is cancelled, we will delete or anonymize the information in the account, except where there are other provisions for the storage time or processing method of information in accordance with local laws, regulations or relevant regulations.

3.4.2 After your account is cancelled, you will not be able to use the account to log in to MICO, nor will you be able to retrieve any content or information related to the account. After your account is cancelled, you will still be responsible for your use of MICO before the cancellation of your account.

3.5 [Account Disposal] If you may have violated this Agreement and local laws, or any other behavior/content that MICO deems to be dangerous. MICO has the right to take emergency measures against your account without notifying you in advance. Measures include but are not limited to banning, freezing, and restrictions. If this causes you to be unable to use your account normally, you will bear the risks caused by your dangerous behavior.

4. User Code of Conduct

4.1【Content Release Specifications】

The content release mentioned in this article refers to any content created, uploaded, copied, published, and disseminated by users in the process of using this service, including but not limited to registration information such as account avatars and nicknames, or text, voice, pictures, videos (live broadcasts), graphics and text, and all other possible content under your account:

You acknowledge and agree that you may not post content that:

(1)Contains profanity or language that may be considered offensive, harassing, disturbing, embarrassing, alarming or annoying to any other person;

(2)Content that is obscene, pornographic, or otherwise likely to infringe upon human dignity;

(3) Content that is abusive, insulting or threatening, or that promotes or encourages racism, sexism, hatred or bigotry;

(4) Encourage any illegal activity, including but not limited to terrorism, incitement to racial hatred, and hate content;

(5) Contains defamatory statements;

(6) Content related to commercial activities (including but not limited to sales, competitions and advertisements, any links to other websites or pay phone numbers);

(7) Involving the transmission of "spam";

(8) Contains any spyware, viruses, corrupted files, worms or other malicious code designed to interrupt, damage or limit or destroy the functionality of any software, hardware, telecommunications, network, server or other equipment, Trojan horses or any other material designed to damage, interfere with, misappropriate or expropriate any data or personal information, whether from MICO or otherwise;

(9) The content or its publication infringes upon the rights of any third party (including but not limited to intellectual property rights, privacy rights, and portrait rights);

(10) Indications of drug or substance use;

(11) Display political content;

(12) Contains sexual harassment or sexual innuendo;

(13) Any content involving violence and/or self-harm, or encouraging or inducing others to participate in dangerous activities that may cause personal injury or death.

(14) Display any information about minors, such as videos or voices of minors;

(15) Although it does not contain information about minors, it may have the potential to lead to bad consequences such as abuse or seduction of minors;

(16) Related to gambling, abortion, weapons or other highly explosive items;

(17) Any other content that MICO determines to be negative under any applicable laws.

4.2 [Prohibited Conduct]

You must not engage in the following behaviors when using MICO:

(1) Illegal intrusion into the network, interference with the normal operation of the network, stealing network data and other activities that endanger network security;

(2) reverse engineer our products or take any action that could lead to the discovery of our source code, or circumvent measures that prevent or restrict access to any part of our Services;

(3) attempt to circumvent any content filtering technology we use, or attempt to access any features or areas of our Services that you are not authorized to access;

(4) Attempting to interfere with or disrupt the normal operation of the system or website, intentionally spreading malicious programs or viruses, and other destructive behaviors that interfere with normal network information services;

(5) Malicious account registration, including but not limited to frequent batch registration of accounts, uploading false registration information, etc.

(6) engage in any harassing, threatening, intimidating, predatory or stalking behavior;

(7) Produce or distribute methods or tools related to the above-mentioned activities, or operate or disseminate such methods or tools, regardless of whether such activities are for commercial purposes;

(8) Other acts that violate these Terms, any applicable laws and regulations, infringe upon the legitimate rights and interests of other users, interfere with the normal operation of MICO, or are not expressly authorized by us.

4.3 Any content transmitted or published by users through MICO does not reflect or represent, nor shall it be deemed to reflect or represent MICO's views, positions or policies. Please identify information carefully. We cannot guarantee the accuracy, completeness, appropriateness or authenticity of any content you obtain on MICO. In any case, we are not responsible for the content of any user. We are not responsible for the security and privacy of the content you transmit and publish on MICO. We recommend that you protect your privacy and do not provide other users with sensitive information such as your mobile phone number and home address.

4.4 You understand and agree that you are fully responsible for your own actions. MICO has the right to stop or deal with any behavior that may violate any applicable laws and regulations or the provisions of this Agreement based on reasonable judgment, including but not limited to:

(1) Delete, disconnect, or block your content and links without prior notice;

(2) Take emergency measures against your account, such as blocking your account;

(3) Terminate all or part of MICO's services to you and pursue your legal liability in accordance with the law. At the same time, if your behavior constitutes a criminal offense, we reserve the right to submit the matter and your violation to any competent authority and cooperate with them;

4.5 You understand and agree that if any improper behavior of yours (including but not limited to possible violation of all applicable laws and regulations and this Agreement) causes MICO to be complained about, sued, face the risk of being removed from the shelves or suffer administrative penalties, you shall compensate MICO for all losses suffered.

4.6 You understand and agree that you are solely responsible for your actions. In certain circumstances, we have the right to disclose your identity information to any third party who claims that the content you posted to MICO constitutes an infringement of their legal rights. However, we guarantee that such disclosure will be subject to court/authority orders.

4.7 If you find that an account on MICO is engaging in any behavior prohibited by us, we encourage you to complain to us and we will accept and handle your complaint in a timely manner.

5. Data Security

During your use of MICO, we may collect your personal information so that we can provide you with better services and corresponding technical support. For more information on personal information protection, we encourage you to review <MICO Privacy Policy> in a timely manner .

6. Paid Services/h3>

You promise that you have independent spending power according to the local laws of your location.

6.1 When you use MICO products and services, you may purchase MICO paid services (such as live broadcast rewards).

6.2 For paid services, you need to complete it on the third-party payment tool supported by the official version of MICO. You also need to comply with the service specifications of the third-party payment tool and complete the online payment in the currency accepted by the third-party payment tool. You understand and agree that we cannot guarantee the security, accuracy, effectiveness and timeliness of the third-party payment tool, nor can we provide any guarantee for the third-party payment tool. We do not assume any responsibility for any disputes or losses caused by your use of third-party payment tools.

6.3 When you make a payment, these third-party payment tools may ask you to provide certain personal data in order to make payments through their financial institutions and comply with applicable international, national, federal, state and local laws and regulations.

6.4 You understand and confirm that, based on the characteristics of Internet products, if you purchase any MICO paid services, such as membership services, virtual props, special effects, virtual gifts, etc., once the transaction is completed, such payment cannot be revoked, refunded, or reversed.

6.5 The MICO services/products you purchase are limited to use on the MICO platform, and such consumption and use must always comply with all applicable laws. For example, virtual props cannot be traded, cannot be exchanged for the legal currency of any political entity, cannot be used as credit or collateral, and cannot be used for any form of investment or transfer.

6.6 When you purchase MICO paid services, please check the consumption rules of the relevant paid services in a timely manner to avoid unnecessary losses. MICO has the right to adjust the sales methods and rules of paid services at any time.

6.7 You acknowledge and warrant that the source of funds for your purchase of paid services is legal and compliant, and your consumption behavior and purpose comply with all applicable legal documents and the requirements of this Agreement, and will not pose risks to MICO's compliance operations.

7. Intellectual Property

7.1 We own all intellectual property rights of MICO products and services, including but not limited to software, technology, programs, web pages, text, images, audio, video, etc. We own the copyright, patent rights and other intellectual property rights of the software on which we provide MICO products and services.

7.2 Please do not use "MICO" or any trademark, service mark, trade name, domain name, website name or other brand logo (collectively referred to as "Logo") related to the MICO brand without authorization under any circumstances. Without our prior written consent, you may not display, use or apply for registration of trademarks, registered domain names, etc. of the aforementioned Logos in this clause alone or in any combination. Otherwise, if you cause losses to us or others due to your violation of this Agreement and use of the logos, you shall bear all legal responsibilities .

7.3 You understand and promise that the content you publish when using MICO, including but not limited to text, pictures, videos, audio and other forms of content, should be original or you have obtained legal authorization. For various forms of content uploaded and published by you through MICO, you grant us a global, free, non-exclusive, multi-level re-licensable right. In order to better protect your rights, you confirm that we have the right to protect the content uploaded and published by you and for which you have intellectual property rights, either by ourselves or by entrusting a third party, in accordance with the authorization in the preceding paragraph.

8. Disclaimer and Limitation of Liability

8.1 Our services are provided on an "as is" and "as available" basis. Although we make every effort to ensure the continuity and security of the service, we do not represent or warrant that:

(1) the Service will always be secure, error-free or timely;

(2) The Service will always operate normally and will not be affected by delays, interruptions or defects;

(3) any content or information you obtain on MICO will be timely or accurate;

(4) The service can meet your needs.

8.2 We are not responsible for any loss or damage arising from:

(1) Force majeure and other factors beyond our control;

(2) any changes we make to MICO or certain features of MICO, or any permanent or temporary suspension of such features;

(3) any content you upload, post or transmit on MICO is deleted, damaged or lost;

(4) you fail to provide us with accurate account information, abuse our services, or violate these Terms;

(5) the risks you assume when interacting with other users;

(6) We have fulfilled certain obligations of care;

(7) We are unable to do so based on existing technical means;

(8) MICO’s exemption from liability to the maximum extent permitted by law;

8.3 In any case, we will not be liable for any indirect, consequential, punitive, incidental, special or punitive damages, including loss of profits suffered by users due to the use of MICO (even if we have been informed of the possibility of such losses). Our total liability to users, regardless of the reason or the form of action, will never exceed the fees paid by users for using our services.

8.4 Our services are only provided for private use. You agree not to use MICO for any commercial or business purposes, and we are not responsible for any commercial or business losses.

8.5 You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to your use of MICO or these Terms must be filed within one year after such claim or cause of action arose or be forever barred.

9. Jurisdiction

Any dispute arising out of or in connection with the terms of this Agreement, including but not limited to any question regarding its existence, validity, interpretation, enforcement or termination, shall be submitted to the Hong Kong International Arbitration Centre (hereinafter referred to as "HKIAC") and finally settled by arbitration in accordance with the HKIAC Arbitration Rules then in force. The arbitration proceedings shall be conducted in English.

10.2 [Independence of Clauses] Each clause of this Agreement is deemed to be an independent and separable part. If a specific clause in this Agreement is deemed to be invalid, illegal or unenforceable for any reason (including but not limited to violation of local laws and regulations, ambiguity or unenforceability, etc.), such invalidity, illegality or unenforceability shall not affect or weaken the legality, validity and enforceability of the remaining clauses of this Agreement.

10.3 This Agreement is drawn up in the English language and may be provided to you in multiple languages. You acknowledge and agree that if there is a conflict between the English version and any other language version, the English version shall prevail.
